End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THIS SOFTWARE.

1. LICENSE GRANT

Subject to your payment of any applicable license fees and compliance with this Agreement, Jiang Ning grants you a non-exclusive, non-tansferable, revocable, limited license to download, install, and use CherryQuery (the "Software") solely for your personal or internal business purposes, strictly in accordance with the terms of this Agreement.

2. RESTRICTIONS

You agree NOT to, and you will not permit others to:

  1. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
  2. Sublicense, sell, rent, lease, assign, distribute, host, outsource, or otherwise commercially exploit the Software or make CherryQuery available to any third party.
  3. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Jiang Ning.

3. INTELLECTUAL PROPERTY

CherryQuery, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is and shall remain the sole and exlusive property of Jiang Ning. Third-party open-source components included with the Software are licensed under their own respective licenses.

4. YOUR CONTENT

CherryQuery reads and indexes files on your device solely to provide its search functionality. You retain all rights to your files and their contents. You are responsible for ensuring that you have the right to access the files and folders you choose to index.

5. TERMINATION

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of CherryQuery and delete all copies of the Software.

6. NO WARRANTY ("AS IS")

CherryQuery IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINERINGEMENT. JIANG NING DOES NOT WARRANT THAT SEARCH RESULTS WILL BE COMPLETE OR ACCURATE. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHTHOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JIANG NING BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE CherryQuery.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of California, USA, without regard to its conflict of law principles.
